Terms of Service

By accessing or using SkillX — including our website, waitlist, and platform features — you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use SkillX.

SkillX is operated by NXGOAI (“we”, “our”, or “us”). We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

SkillX is a peer-to-peer skill-sharing marketplace that connects mentors — individuals who wish to share their knowledge and skills — with learners who want to acquire those skills. The platform facilitates session bookings, video connections, and payments between users.

SkillX is currently in pre-launch. By joining our waitlist, you acknowledge that the platform is not yet fully operational and that features described may change before launch.

• You must be at least 18 years old to create an account and use SkillX
• You must provide accurate and truthful information during registration
• One account per person; accounts are non-transferable
• SkillX is available globally but may be restricted in certain jurisdictions

As a mentor on SkillX, you agree to:

• Provide accurate descriptions of your skills, experience, and what learners can expect from sessions
• Show up on time for booked sessions or provide reasonable advance notice if you need to cancel
• Treat learners with respect and professionalism at all times
• Not misrepresent credentials or qualifications you do not hold
• Not solicit learners to bypass the SkillX platform for direct payments
• Comply with all applicable laws and regulations in your jurisdiction
• Not share session recordings without the explicit consent of all participants

As a learner on SkillX, you agree to:

• Attend booked sessions on time or cancel with reasonable advance notice
• Treat mentors with respect and professionalism
• Not record sessions without the mentor’s explicit consent
• Not use the platform to extract professional services beyond what is agreed in a session
• Provide honest and constructive reviews based on your actual experience

SkillX facilitates payments between learners and mentors. Our payment terms include:

• Session prices are set by mentors; learners pay at the time of booking
• Some mentors may offer free sessions at their discretion
• SkillX takes a platform fee from each paid transaction (fee percentage disclosed at launch)
• Mentor payouts are processed on a regular schedule after successful session completion
• All prices are displayed in USD unless otherwise noted
• Payments are processed by a third-party payment provider; SkillX does not store payment card details

Our cancellation and refund policy:

• Learners may cancel a session for a full refund up to 24 hours before the scheduled start time
• Cancellations within 24 hours may be subject to a partial or no refund, at the mentor’s discretion
• If a mentor cancels a session, learners receive a full refund
• Disputes regarding session quality may be submitted to SkillX support for review
• SkillX reserves the right to issue refunds in cases of confirmed platform errors or mentor misconduct

All content on the SkillX platform — including our logo, brand assets, website design, and original text — is owned by NXGOAI and protected by applicable intellectual property laws.

Mentors retain ownership of original content they create (e.g. lesson materials, recorded content). By uploading content to SkillX, you grant us a non-exclusive, royalty-free license to display and distribute that content on the platform for the purposes of delivering the service.

You may not use SkillX to:

• Violate any applicable law or regulation
• Harass, intimidate, or harm other users
• Post false, misleading, or fraudulent information
• Distribute spam, malware, or unauthorized advertising
• Circumvent our payment system or engage in fraudulent transactions
• Scrape, copy, or redistribute platform content without permission
• Impersonate another person or entity
• Engage in any activity that disrupts or degrades the platform’s functionality

Violation of these rules may result in immediate account suspension or termination.

SkillX is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, SkillX and NXGOAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.

These Terms are governed by and construed in accordance with applicable international law. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
